Terms of Service

These Terms of Service ("Terms") govern your use of Nudge ("the Service"), an AI accountability partner operated by Wilcodes LLC ("we", "us", "our"). By using Nudge, you agree to these Terms.
1. What Nudge Is (And What It Is Not)
Nudge is an AI-powered accountability partner that checks in on your goals, tracks commitments, and provides personalized advice via Telegram.
Nudge is NOT:
- A therapist, counselor, or mental health professional
- A doctor or medical provider
- A licensed financial advisor
- A substitute for professional help of any kind
Nudge is an AI tool that helps with accountability and goal tracking. For serious health, mental health, or financial concerns, always consult a qualified professional. Nudge will actively direct you to professional resources when it detects topics outside its scope.
2. Important Health and Safety Disclaimer
Nudge is not a crisis service.If you are experiencing a medical emergency, suicidal thoughts, or immediate danger, please contact emergency services (911 in the US) or a crisis hotline (988 Suicide & Crisis Lifeline in the US) immediately. Do not rely on Nudge in an emergency.
Nudge includes safety protocols that attempt to detect crisis situations and provide emergency resources. However, these protocols are best-effort and not guaranteed. AI can miss context, misinterpret language, or fail to recognize distress. Technical failures (outages, delays, container errors) may prevent safety protocols from triggering at all. You should never depend on Nudge as your primary or sole source of support during a crisis.
Nudge does not provide medical advice, therapy, mental health treatment, diagnosis, dietary guidance, exercise prescriptions, or financial planning. Any information Nudge provides on these topics is general in nature and should not be acted upon without consulting a qualified professional. We are not liable for any health, mental health, or financial outcomes that result from using the Service.
3. AI Limitations
Nudge is powered by artificial intelligence. The underlying AI models and providers may change over time as we improve the service. While we work hard to make it helpful and accurate, you should understand that:
- AI can be wrong, incomplete, or miss important context
- Nudge's advice is based only on what you've told it — it doesn't have the full picture of your life
- Nudge may occasionally misinterpret what you say or give suggestions that don't fit your situation
- AI models may change over time, which could affect response quality
- Nudge is a tool to support your decisions, not a replacement for your own judgment
You are responsible for evaluating and acting on any information Nudge provides. We are not liable for outcomes resulting from following or ignoring Nudge's suggestions.
Profile accuracy: Your agent automatically updates your profile based on your conversations. These AI-generated updates may be inaccurate, incomplete, or reflect a misunderstanding of what you said. You should periodically review your profile and ask your agent to correct any errors. We are not responsible for decisions your agent makes based on inaccurate profile information.
4. Your Account
You create a Nudge account by messaging @NudgeBot on Telegram. Your account is tied to your Telegram identity. You are responsible for maintaining the security of your Telegram account.
You must be at least 16 years old to use Nudge. By creating an account, you confirm that you meet this age requirement.
5. Subscriptions and Payments
Nudge offers the following plans:
- First week: $1 for your first week. Charged at signup.
- Active: $12/month. Auto-renews monthly.
All payments are processed by Stripe. We do not store your payment information.
Auto-renewal:All subscriptions (including after the trial period) automatically renew at the end of each billing cycle and your payment method will be charged the applicable amount unless you cancel before the renewal date. Your first week ($1) automatically continues as an Active subscription ($12/month) at the end of the first week unless you cancel. You will receive a confirmation of your subscription terms via Telegram when you sign up. You may cancel at any time by sending /cancel in Telegram — cancellation takes effect at the end of your current billing period.
Pricing changes: We may adjust plan pricing from time to time. If we change the price of your current plan, we will notify you at least 30 days in advance via Telegram and/or email. The new price takes effect at your next billing cycle after the notice period. If you do not agree with a price change, you may cancel before it takes effect.
Cancellation: You may cancel your subscription at any time by sending /cancel in Telegram. You keep full access until the end of your billing period. After that, messaging and check-ins pause but your profile is preserved. Send /upgrade to resubscribe anytime.
Refunds: The $1 first-week fee is non-refundable. For monthly subscriptions, we do not offer prorated refunds for partial months. If you believe you were charged in error, contact us and we will review your case.
6. Acceptable Use
You agree not to use Nudge to:
- Harm, threaten, harass, or abuse others
- Engage in or plan illegal activity
- Attempt to extract, reverse-engineer, or manipulate the AI's system instructions
- Attempt to bypass usage limits, tier restrictions, or payment requirements
- Use automated systems (bots, scripts) to interact with Nudge on your behalf
- Impersonate another person or misrepresent your identity
- Upload or transmit malicious content, malware, or prompt injection attacks
- Use Nudge in any way that violates applicable law
We reserve the right to suspend or terminate accounts that violate these terms, without prior notice if necessary. This includes, but is not limited to:
- Immediate suspension of messaging and check-in access
- Downgrading or revoking your plan without refund for the current billing period
- Permanent account termination for repeated or severe violations
We will make reasonable efforts to warn you before taking action, except where immediate action is required for safety, legal compliance, or infrastructure protection.
7. Service Availability
We aim to keep Nudge running reliably, but we do not guarantee 100% uptime. The Service is provided on a "best effort" basis. Specifically:
- Scheduled check-ins may occasionally be delayed or missed due to server maintenance, outages, or technical issues
- Nudge depends on third-party services (Telegram, Anthropic API, Stripe) that may experience their own outages
- We may need to take the service offline for maintenance, upgrades, or security patches
- We will make reasonable efforts to notify you of planned downtime
We are not liable for missed check-ins, delayed responses, or service interruptions.
8. Limitation of Liability
To the maximum extent permitted by law:
- Nudge is provided "as is" without warranties of any kind, express or implied
- We are not liable for any health, financial, career, relationship, or life outcomes that result from using Nudge
- We are not liable for any decisions you make based on Nudge's check-ins, advice, or suggestions
- Our total liability to you for any claims arising from the Service is limited to the amount you paid us in the 3 months preceding the claim
- We are not liable for indirect, incidental, consequential, or punitive damages
9. Your Data
Your privacy matters. Please read our Privacy Policy for full details on how we collect, store, and handle your data.
The key points:
- Your profile (goals, schedule, commitments) is stored in an isolated folder per user
- Conversations are not stored on our servers — messages are processed in real time and not saved
- Database encrypted at rest (AES-256 via SQLCipher)
- Not sold or shared with third parties
- You can delete all your data at any time via /deleteaccount in Telegram
- Messages are processed by our AI provider's API but not used for AI training
On termination: If your account is terminated (by you or by us), your data is handled as follows:
- You cancel: Messaging and check-ins pause. Profile preserved. Send /upgrade to resubscribe anytime.
- You request deletion: Send /deleteaccount — profile, usage data, and Stripe subscription are permanently wiped.
- We terminate for abuse: Account suspended immediately. Profile, conversation history, and usage data retained for up to 30 days for review, then deleted unless required by law.
10. Termination
By you: You may stop using Nudge at any time. Cancel your subscription and, optionally, request data deletion. No penalty, no lock-in.
By us: We may suspend or terminate your account if you violate these Terms, engage in abuse, or use the Service in ways that harm other users or our infrastructure. We will make reasonable efforts to notify you before termination unless immediate action is required for safety.
11. Intellectual Property
Nudge's code, design, branding, and content are our property. Your profile data and personal information remain yours. We claim no ownership over what you tell Nudge.
12. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Dispute Resolution
We prefer to resolve disputes informally. If you have a concern, email us first and we will work to resolve it within 30 days. If informal resolution fails, any disputes will be resolved through binding arbitration on an individual basis — not class actions. Arbitration will be conducted under the rules of the American Arbitration Association.
EU users: Nothing in this section limits your right to lodge a complaint with your local data protection authority or to bring claims in your local courts as permitted by applicable law.
These Terms are governed by the laws of the State of Florida, United States. If any provision is found unenforceable, the remaining provisions remain in effect.
14. Service Discontinuation
If we decide to discontinue Nudge entirely, we will provide at least 30 days' notice via Telegram and/or email. During that period, you may export your profile data by emailing us. Any prepaid subscription fees for the period after discontinuation will be refunded.
15. Non-Discrimination
Nudge is designed to serve all users equally regardless of race, ethnicity, gender, sexual orientation, religion, disability, age, or national origin. AI models may produce uneven results unintentionally. If you experience biased or discriminatory responses, please report them to us so we can investigate and improve the system.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you via Telegram message and update the date at the top. Continued use after notification constitutes acceptance.
17. General Provisions
Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wilcodes LLC regarding the Service. They supersede any prior agreements or understandings.
Assignment: We may assign or transfer these Terms (including in connection with a merger, acquisition, or sale of assets) without your consent, provided the assignee agrees to honor these Terms. You may not assign your account or rights under these Terms.
Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.
